1. Scope of Work
All services, including but not limited to content creation, web development, social media management, paid advertising, and email marketing, will be executed based on an agreed-upon Scope of Work (SOW). Any changes to the original SOW will result in a revised quotation and invoice.
2. Payment Terms
•All payments are to be made at the start of each month for services to be rendered during that month.
•Accepted payment methods include EFT and approved third-party processors.
•Invoices are due upon receipt unless otherwise agreed in writing.
3. Contract Period & Cancellation
•All retainers are signed for a minimum of 6 months unless otherwise specified.
•After the initial commitment period, clients may cancel with a 30-day written notice.
•This notice period allows Hayes Media to wrap up final deliverables and realign internal resources, as work for the following month is often prepared in advance.
4. Project Delays & Client Responsibilities
Hayes Media requires timely feedback and approvals from the client to meet deadlines. Delays caused by client inaction may affect delivery dates without penalty to Hayes Media.
5. Revisions & Amendments
Each service includes a pre-defined number of revisions. Additional revisions may incur further charges. Major changes outside the agreed scope will be quoted separately.
6. Intellectual Property
All creative assets produced by Hayes Media remain the property of Hayes Media until payment has been received in full. Upon full payment, ownership rights are transferred to the client unless otherwise agreed.
7. Liability
Hayes Media will not be held liable for:
•External factors beyond our control (e.g., platform policy changes, global events).
•Performance issues resulting from inaccurate or incomplete client data.
8. Confidentiality
All discussions, materials, and strategies shared between Hayes Media and the client remain confidential.
9. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes will be handled in accordance with South African legal procedures.
